An institutional direct-investment platform for the great small-business transition.
SnowBerg Advisors acquires and operates high-margin, founder-led businesses across the Northeast, giving family offices, institutional allocators, and high-net-worth partners direct, deal-by-deal access to durable private companies.
Hundreds of thousands of durable businesses need a buyer with a plan.
The baby boomer generation, which built and still controls a disproportionate share of American small and mid-sized businesses, is reaching retirement without adequate succession planning. SnowBerg exists to close the gap between willing sellers and capable, ready buyers.
One platform, built for both sides of the transition.
We buy and operate the businesses ourselves.
SnowBerg acquires qualifying Northeast businesses directly, applying an institutional operating playbook to professionalize and scale them as an evergreen holding — with no forced-exit clock.
- $1.5M–$10M+ EBITDA buy box, 4–7x entry valuation
- Majority buyout with seller note and minority rollover
- Deal-by-deal SPV structure, no blind pool
We guide owners who aren't selling to us.
For the much larger population of owners who need a professional path to market, and families managing the proceeds of a liquidity event — whether or not SnowBerg was the buyer.
- Sell-side exit advisory, retainer plus success fee
- Valuation, transaction prep, and buyer sourcing
- Post-sale investment and family-office management
Three sectors, one Northeast footprint.
SnowBerg targets high-margin businesses with contracted or highly repeatable revenue, in markets where structural demand is growing faster than the broader economy.
Technology & tech-enabled services
AI infrastructure build-out anchored roughly a third of 2025's record global M&A value, continuing to draw buyer interest into businesses with recurring, contracted revenue.
Infrastructure & essential services
PwC projects roughly $150 trillion in cumulative global infrastructure spending through 2050, driven by AI-related power demand, grid modernization, and electrification.
Industrial & advanced manufacturing
Industrial manufacturing M&A reached roughly $164 billion in deal value, with buyers paying a premium for automation, controls, and supply-chain capability.
A disciplined, repeatable filter — not a broad mandate.

| Partner type | Minimum commitment | Structure & rights |
|---|---|---|
| Family office / institutional | $1,000,000 per SPV | Direct SPV membership; Investor Advisory Committee eligibility above $3M aggregate; first-look access; reduced facilitation fee at scale. |
| High-net-worth individual | $250,000 per SPV | Direct SPV membership; full quarterly reporting and distribution rights identical to institutional partners. |
| Multi-deal / standing allocation | By separate letter agreement | A recurring allocation across multiple SnowBerg acquisitions, rather than evaluating each SPV individually. |
Deal-by-deal transparency
Every commitment is to a specific, underwritten business — not a blind pool.
Evergreen structure
No artificial 3–5 year exit clock, matching a multi-generational time horizon.
Institutional-grade reporting
Quarterly reporting, formal Operating Agreements, and advisory-committee representation.
Direct alignment
SnowBerg co-invests its own family-office capital in every SPV alongside partners.
General Partner
Max leads capital formation and family/LP relationships at SnowBerg Advisors, drawing on a career built entirely around the trust of high-net-worth and institutional investors — from private equity capital raises to counterparty risk underwriting at a global fintech.
Most recently, Max built and maintained executive relationships with high-net-worth stakeholders across long-cycle capital allocation decisions at Valorem Capital, advising GP-level investors on complex financial structures. At VAMA, he served as the key point of contact for high-net-worth private equity investors through the completion of a $100M capital raise. Earlier, at Capital Markets Advisors, he led due diligence and matchmaking for wealth-management book acquisitions, negotiating terms between financial advisors and broker-dealers.
